Agreement
These Terms of Service ("Terms") govern your access to and use of the Model Optimizer service, including the marketing site at www.modeloptimizer.ai and the web application at app.modeloptimizer.ai (together, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms on behalf of yourself and the organization you represent ("you," "your"). If you do not agree, do not use the Service.
The Service
Model Optimizer is an AI operational intelligence platform for AWS Bedrock. With your authorization, it reads Bedrock Model Invocation Logging (MIL) data from an S3 bucket in your AWS account, calculates usage and cost metrics, and presents dashboards and optimization recommendations in our web application. The features available to you depend on the plan you've signed up for; see our pricing page for what's included in the current Free and Pro plans.
The Service is a reporting and analytics tool. We surface findings and suggested actions; you decide whether and how to act on them. Cost-savings figures shown in the application are estimates based on your historical usage and current AWS Bedrock pricing — actual savings will vary based on changes you make, AWS pricing changes, and how your workloads evolve.
Your account
- You must provide accurate signup information and keep it current.
- You're responsible for safeguarding your credentials and for all activity that occurs under your account or your team's account.
- Notify us at hello@modeloptimizer.ai if you suspect any unauthorized access.
- You must be at least 18 years old and authorized to bind your organization to these Terms.
Connecting your AWS account
The Service requires that you grant cross-account read access to a designated S3 bucket containing Bedrock MIL data. By connecting a data source you confirm that:
- You have the authority to authorize this access on behalf of the AWS account owner.
- The CloudFormation template and IAM role you create may grant Model Optimizer the read-only access it describes.
- The MIL data you direct us to does not contain content that you are contractually, legally, or regulatorily prohibited from sharing with a third-party processor — or, if it might, you are using Privacy Mode so that prompt and response content is sanitized before we read it. See our Privacy Policy for how the two modes differ.
You can revoke our access at any time by deleting the CloudFormation stack in your AWS account or by deleting the data source in the application.
Acceptable use
You agree not to:
- Use the Service in violation of applicable law, AWS's Acceptable Use Policy, or any third party's rights.
- Connect MIL data you are not authorized to share.
- Attempt to gain unauthorized access to the Service, other customers' data, or our underlying infrastructure.
- Interfere with or disrupt the Service (denial-of-service attempts, scraping at abusive rates, probing for vulnerabilities without coordinated disclosure).
- Reverse engineer, decompile, or attempt to extract source code from the Service except to the extent that applicable law expressly permits.
- Resell, sublicense, or white-label the Service without our prior written agreement.
Customer data and ownership
You retain ownership of all data you provide to or that we ingest on your behalf, including your Bedrock MIL records, account information, and any configuration you enter into the application ("Customer Data"). You grant us a non-exclusive license to access, process, store, and display Customer Data solely to provide and improve the Service for you. We do not sell Customer Data and do not use your prompts, responses, or usage data to train machine-learning models.
Aggregated, anonymized statistics that do not identify you or your organization (for example, anonymized counts of model usage across all customers) may be used to improve the Service and may be published in summary form.
Pricing and billing
Current plans and pricing are listed at our pricing page. Free plans require no payment. Paid plans are billed via Stripe according to the pricing structure shown when you upgrade (currently a percentage of your monthly AWS Bedrock spend, with a minimum monthly floor, prorated for partial months). By upgrading, you authorize us to charge your payment method on file for the recurring fees and any applicable taxes.
We may change pricing or plan structure from time to time. Material pricing changes that affect your active subscription will be communicated by email in advance and will take effect at the start of your next billing period. Continued use of a paid plan after a pricing change takes effect constitutes acceptance.
Charges are non-refundable except as required by law or as expressly stated by us. If a payment fails, we may suspend access to paid features until payment is resolved.
Termination
- By you. You may stop using the Service and cancel a paid subscription at any time from the application or by emailing hello@modeloptimizer.ai. Cancellation takes effect at the end of the current billing period. You can revoke our access to your AWS account at any time by deleting the CloudFormation stack.
- By us. We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, or use the Service in a way that creates security, legal, or operational risk for us or other customers. Where reasonable, we will give you notice and an opportunity to cure first.
- Effect of termination. Upon termination, your right to use the Service ends. We will delete Customer Data on the schedule described in our Privacy Policy; sections of these Terms that by their nature should survive termination (ownership, disclaimers, limitation of liability, governing law) will survive.
Service availability
We aim to keep the Service available and performing well, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, upstream provider outages (including AWS), or other factors beyond our reasonable control. We do not currently offer a contractual uptime SLA.
Third-party services
The Service relies on third-party providers including AWS (hosting and storage), Stytch (authentication), and Stripe (payments). Your use of those providers' offerings as part of the Service is also subject to their respective terms. We are not responsible for the acts or omissions of any third-party provider, but we will use reasonable efforts to choose reputable providers and configure them responsibly.
Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. Optimization recommendations are estimates based on the data available to us at the time and on AWS pricing as of that time; they are not guarantees of cost savings, model quality, or any specific outcome. You are responsible for evaluating recommendations before acting on them in production systems.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MODEL OPTIMIZER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Indemnification
You agree to indemnify and hold Model Optimizer harmless from any third-party claim arising out of (a) your breach of these Terms, (b) Customer Data you provided that you did not have the right to share, or (c) your use of the Service in violation of law.
Changes to these Terms
We may update these Terms from time to time. When we make material changes, we'll update the "Last updated" date above and, for changes that affect your rights or obligations, notify account owners by email or in-app notice. Continued use of the Service after the changes take effect constitutes acceptance.
Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in Pennsylvania, and you and we each consent to that venue.
Miscellaneous
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Compliance note: Model Optimizer does not currently hold SOC 2, HIPAA, PCI, or similar compliance certifications. If your organization is bound by frameworks that require such certifications for third-party processors, please evaluate accordingly before connecting workloads that fall under those regimes.
